These Terms of Service ("Terms") govern your access to and use of the Brolly website located at brolly.care (the "Website"), the free CQC assessment tool (the "Assessment"), and any related services provided by Brolly Care Management Ltd ("Brolly", "we", "us", or "our").
By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Website or our services.
2. About Our Services
Brolly provides a compliance and quality improvement programme for care service providers, comprising expert consultancy, an intelligent software platform, and training services. The Website serves as an informational resource and lead generation tool, including a free AI-powered CQC assessment feature.
3. Free Assessment Tool
The free assessment available on this Website uses publicly available data from the Care Quality Commission (CQC) API and artificial intelligence to generate an analysis of your care service's inspection history. By using the Assessment, you acknowledge and agree that:
- Informational purposes only. The Assessment report is provided for general informational purposes and does not constitute professional advice, a formal audit, or a guarantee of any CQC rating outcome.
- AI-generated content. The report is generated by artificial intelligence. While we strive for accuracy, AI-generated analysis may contain errors, omissions, or interpretations that differ from a human expert's assessment. You should not rely solely on this report for compliance decisions.
- No professional relationship. Use of the free Assessment does not create a client, consultant, or professional advisory relationship between you and Brolly.
- Public data. The Assessment retrieves data that is publicly available through the CQC's public API. We do not access any private or restricted information about your organisation.
- No guarantee of results. Brolly makes no representations or warranties that following any recommendations in the Assessment will result in a specific CQC rating.
4. Use of the Website
You agree to use the Website only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Website in any way that violates any applicable law or regulation.
- Attempt to gain unauthorised access to any part of the Website, its servers, or any connected systems.
- Use any automated system, including bots, scrapers, or crawlers, to access the Website or extract data, except as expressly permitted by us.
- Interfere with or disrupt the Website's infrastructure, including overloading, flooding, or launching denial-of-service attacks.
- Impersonate another person or entity, or provide false information when using the Assessment tool.
- Use the Assessment tool to look up organisations you are not authorised to represent.
- Reproduce, distribute, or commercially exploit any content from the Website without our prior written consent.
5. Subscription Services
If you choose to enrol in the Brolly programme through the Website, the following terms apply in addition to these Terms:
- Pricing. Subscription fees are charged on a per-user, per-month basis at the rate displayed at the time of enrolment. Prices are in British Pounds (GBP) and are exclusive of VAT where applicable.
- Trial period. New subscribers may be offered a trial period. During the trial, you may cancel at any time without charge. The specific trial terms will be communicated at the point of enrolment.
- Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.
- Payment. Payments are processed securely through our third-party payment provider (Stripe). We do not store your full payment card details on our servers.
- Changes to pricing. We reserve the right to change subscription pricing with at least 30 days' written notice. Any price changes will not affect your current billing period.
6. Intellectual Property
All content on the Website, including text, graphics, logos, icons, images, software, and the design and arrangement thereof, is the property of Brolly Care Management Ltd or its licensors and is protected by United Kingdom and international copyright, trademark, and other intellectual property laws.
The Brolly name, logo, and all related marks are trademarks of Brolly Care Management Ltd. You may not use these marks without our prior written permission.
Assessment reports generated for you are provided for your personal and organisational use. You may share your own report within your organisation but may not commercially redistribute or resell reports.
7. Third-Party Services and Links
The Website may contain links to third-party websites or services, including the CQC website. We are not responsible for the content, accuracy, or practices of any third-party sites. The inclusion of a link does not imply endorsement by Brolly.
Our services integrate with third-party providers including Stripe (payment processing) and Anthropic (AI analysis). Your use of these integrated services is also subject to their respective terms of service.
8. Disclaimers and Limitation of Liability
The Website and all services, including the free Assessment, are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Website will be available at all times, uninterrupted, or error-free.
- The information provided through the Assessment or Website is complete, accurate, or up to date.
- Any particular CQC rating or inspection outcome will be achieved by following our recommendations.
To the fullest extent permitted by law, Brolly Care Management Ltd and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Website or services.
Our total aggregate liability to you for any claims arising out of or relating to these Terms or your use of the Website shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim, or one hundred pounds (£100), whichever is greater.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Brolly Care Management Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with your use of the Website or services, your violation of these Terms, or your violation of any rights of a third party.
